Service Engagement and Payment Terms

All services commence only after mutual agreement on project scope, deliverables, timelines, and pricing. For projects with a total value below ₹5,000, 100% advance payment is required prior to initiation. For projects above ₹5,000, a minimum of 50% advance payment is required to begin work, with the remaining balance payable as per agreed milestones or prior to final delivery, deployment, or release of deliverables.

All advance payments are strictly non-refundable once the project has commenced. Upon completion and delivery of the project, no refunds shall be applicable under any circumstances. Brevia Tech Solutions reserves the right to withhold project delivery, deployment, credentials, or access to deliverables until full and final payment is received and confirmed in the Company's designated account.

Work will be initiated, continued, or delivered only upon confirmation of payment receipt. Any delays in payment may result in project delays, suspension of services, or additional charges.

Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information, including content, files, credentials, approvals, and feedback necessary for project execution. Any delays caused due to lack of communication, incomplete inputs, or delayed approvals may impact timelines and may result in additional costs or revised delivery schedules.

Clients are solely responsible for ensuring that all materials provided (including content, media, and data) do not infringe upon any third-party rights or applicable laws.

Payment Terms for Interns, Staff, and Freelancers

All interns and employees will receive their payments or stipends on or before the 4th day of each calendar month. In case of banking holidays or unforeseen circumstances, payments will be processed on the next available working day.

Freelancers and contractors engaged on a project or task basis will receive payment within 24 hours of the Company receiving the client's advance payment, provided all agreed deliverables, documentation (such as invoices), and contractual obligations are fulfilled.

Ownership and Intellectual Property

All deliverables, including but not limited to code, designs, assets, documentation, and digital materials, remain the intellectual property of Brevia Tech Solutions until full payment has been received. Upon full and final payment, ownership of the final approved deliverables is transferred to the client, unless otherwise specified in writing.

Brevia Tech Solutions retains the right to reuse, adapt, or utilize general frameworks, methodologies, non-confidential components, and learnings across projects. Additionally, unless explicitly restricted in writing, we retain the right to showcase completed work (excluding sensitive or confidential data) for portfolio, marketing, and promotional purposes.

Confidentiality and Non-Disclosure

All parties involved, including clients, employees, interns, freelancers, and contractors, agree to maintain strict confidentiality regarding any proprietary, sensitive, or non-public information shared during the course of engagement. This includes business information, project details, strategies, credentials, and internal processes.

Any breach of confidentiality or misuse of information may result in immediate termination of the engagement and may lead to legal action as applicable.

Portfolio and Marketing Rights

Unless explicitly restricted through a written agreement, Brevia Tech Solutions reserves the right to display project work, client names, logos, and general project descriptions in its portfolio, website, social media platforms, case studies, or other marketing materials.

Limitation of Liability

To the maximum extent permitted by applicable law, Brevia Tech Solutions shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities arising from or related to the use of our services, delays, interruptions, or third-party failures.

The total liability of Brevia Tech Solutions, under any circumstance, shall not exceed the total amount paid by the client for the specific service or project giving rise to the claim.

Third-Party Services and Integrations

Our services may involve integration with or reliance on third-party platforms, tools, hosting providers, APIs, or software. Brevia Tech Solutions shall not be held responsible for failures, downtime, data loss, or issues arising from such third-party services.

Clients are responsible for complying with the terms and policies of any third-party services used in conjunction with our deliverables.

Force Majeure

Brevia Tech Solutions shall not be held responsible for any delay or failure to perform obligations due to events beyond its reasonable control, including but not limited to natural disasters, acts of God, strikes, power failures, internet outages, cyber incidents, pandemics, government actions, or other unforeseen circumstances.

Termination Clause

Brevia Tech Solutions reserves the right to suspend, pause, or terminate any project or engagement at its discretion in cases of non-payment, breach of terms, lack of communication, misuse of services, or violation of confidentiality obligations. In such cases, all work completed up to the point of termination shall be billed and payable.

Clients may also terminate the engagement; however, payments made up to that point shall remain non-refundable, and any additional work completed shall be billed accordingly.

Legal Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

Acceptance of Terms

By making a payment, initiating a project, entering into an agreement, or continuing to use our services, you confirm that you have read, understood, and agreed to these Terms & Conditions in full.
